Software update or the phone itself?
For OS update you can either connect your iPhone to a mac or a PC and then open iTunes. It will automatically notify you that a new version of iOS available & is ready to download. Click download now and update
Or
On your iPhone. Go to settings--->general--->software update. Download and install the update
If you want to update your phone itself. I recommend you to sell your iPhone 4S to your relatives or friends, as they can buy it at a higher price. Later visit the nearest apple store and buy a 5S or give the phone to apple itself, they might take it for $200 max. And pay the extras to get the 5S :)
